Terms of Service.
This is the boring but important bit. Here is what we promise, what we need from you, and what happens if something does not go to plan.
Last updated: 6 September 2026
1. What these terms cover
These terms apply to this website and to every project WizVerge carries out, unless you and we have signed a separate written agreement that says otherwise. Using this site, or accepting a scope document from us, means you accept these terms. If you are agreeing on behalf of a company, you confirm you are allowed to commit that company.
2. What we do
We provide four services: web development, e-commerce store development, AI automation, and social media management. You may hire one or several. Each is quoted, agreed and delivered on its own terms.
3. Scope, quotes and how a project starts
Before any work begins we send you a written scope: what will be built, what is included, what is not included, the timeline and the total cost. Nothing starts, and nothing is charged, until you approve it in writing. An email saying "approved" is enough.
Quotes are valid for 30 days. The price covers the work described in the scope. If the price we quoted turns out to be too low because we estimated badly, that is our cost to absorb, not yours.
4. Changes to the scope
Anything you ask for that was not in the agreed scope is a change. We will tell you before doing it what it costs and how it affects the timeline, and we will wait for your approval. We will never do extra work and then invoice you for a surprise. Small adjustments in the spirit of the original brief are simply part of the job.
5. Payment
Unless your scope says otherwise, projects are billed in two parts: a deposit before work starts, and the balance when the work is complete and ready to go live. Larger projects may be split into milestones, which will be listed in your scope.
Invoices are due within 14 days. If an invoice is more than 14 days overdue we may pause work on your project until it is settled, after telling you first. Fees already paid for work already carried out are not refundable, but see section 13.
Ongoing services such as social media management are billed monthly in advance and can be stopped with 30 days' notice from either side.
6. What we need from you
To hit a timeline we need timely input: content, images, logins, product information, and answers to questions, plus feedback at the review points. If material we are waiting for does not arrive, the timeline moves by the same amount. If a project goes quiet on your side for more than 60 days, we may close it and invoice for the work completed to that point, and restarting later may be quoted as new work.
You confirm that any text, image, logo, video or font you give us is yours to use, or that you have permission to use it. We rely on that, and you are responsible for the consequences if it turns out not to be true.
7. Timelines
The timeline in your scope is a genuine estimate based on the work described, our current workload, and normal responsiveness from both sides. We confirm dates when we accept a project, not before. Timelines are not guarantees where the delay is outside our control, such as slow third-party approvals, payment gateway verification, domain transfers, app store reviews, or hosting problems at your provider.
8. Who owns what
When your final invoice is paid, you own the deliverables we produced for you: the design, the page code, the content we wrote for the project, and the configuration. They are yours to use, change, move to another host, or hand to another developer.
Two things stay ours: our own reusable components, internal tools, and methods, which we license to you as part of the deliverable rather than transfer; and any third-party item that came with its own licence, such as a theme, plugin, font or stock image, which remains under that licence. We will tell you when a project includes one.
Until final payment is made, the work remains our property. We may show finished work in our portfolio and on social media, using your business name, unless you ask us in writing not to.
9. Third-party services
Projects often depend on services we do not control, such as hosting, domain registrars, Shopify, WooCommerce, WordPress, payment providers, email services, social platforms, and automation tools. We will set them up correctly, but we are not responsible for their outages, price changes, policy changes, account suspensions, or features they remove. Their fees are yours to pay unless your scope says we are covering them.
10. Support after launch
Every project includes a support window after launch, stated in your scope, during which we fix at no charge anything that does not work the way the scope said it would. That covers our mistakes. It does not cover new features, content changes, third-party breakages, or problems caused by someone else editing the site. Those are quoted separately, and we are happy to quote them.
11. What we do not promise
We build to a professional standard and we test our work. We cannot promise a specific search ranking, a level of traffic, a number of sales, follower growth, or a return on your spend, because those depend on your market, your pricing, your product and platforms we do not control. Anyone in this industry who promises you those numbers is guessing.
We do not warrant that any website or system will be uninterrupted or completely free of errors. Software is never perfect. What we do promise is to fix, promptly and at no charge, anything within the agreed support window that does not do what we said it would.
12. Limits on liability
If something goes wrong and we are responsible, our total liability for a project is capped at the total fees you paid us for that project. We are not liable for indirect or consequential losses: lost profits, lost sales, lost data, lost goodwill, or business interruption. This limit does not apply to anything the law does not allow us to limit, including fraud or death or personal injury caused by negligence.
You are responsible for keeping backups of your own content and data once a project has been handed over, and for keeping your logins secure.
13. Cancellation and refunds
You may cancel a project at any time in writing. You pay for the work completed up to that point, and we hand over what has been produced and paid for. Deposits cover work already scheduled and started and are not refundable, but if we have not yet begun we will return the deposit in full.
We may decline or withdraw from a project if the brief turns out to be materially different from what was described, if the work would be illegal or would require us to infringe someone's rights, or if the working relationship becomes abusive. In that case you pay only for the work already done and we will help you move it elsewhere.
14. Confidentiality
Anything you share with us that is not public — your figures, your plans, your customer data, your logins — stays confidential. We do not repeat it and we do not use it for anything other than your project. This continues after the project ends. We expect the same in return for anything we share with you about how we work.
15. Acceptable use of this website
You may read this site, contact us through it, and share links to it. You may not copy its design or code for another site, scrape it, attempt to break into any part of it, submit anything through the form that is unlawful, abusive or deliberately misleading, or use the form to send bulk or automated messages. We block and report abuse of the contact form.
16. Data protection
How we handle personal information is set out in our Privacy Policy, which forms part of these terms. Where a project gives us access to data belonging to your customers, we act only on your instructions and will sign a formal data processing agreement if your business needs one.
17. If there is a disagreement
Talk to us first. Almost everything is solved by a direct conversation, and we would rather fix a problem than argue about it. If that does not work, both sides agree to attempt a good-faith resolution in writing before starting any formal proceedings.
18. Governing law
These terms are governed by the laws of the country in which WizVerge is established, and any dispute that cannot be resolved between us will be handled by the courts of that country. If any single clause here is found unenforceable, the rest stays in force.
19. Changes to these terms
We may update these terms as the business changes. The version that applies to your project is the one published when you approved your scope, so a later change never alters a deal you have already agreed. The date at the top shows when this page last changed.
20. Contact
Questions about these terms, or about a scope you have been sent, go to contact@wizverge.com. We answer within one business day.
